Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "You", "Your") and ZagFox Technologies Private Limited ("ZagFox", "We", "Us", "Our") governing your access to and use of the ioPanel software, services, documentation, and updates (collectively, "ioPanel").

1. Acceptance of Terms

By installing, accessing, or using ioPanel, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, do not install or use ioPanel. These Terms apply to all users, including resellers and enterprise clients.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, ZagFox grants you a limited, non-exclusive, non-transferable, and revocable license to use ioPanel for your internal business or personal use, depending on the license type purchased or issued.

2.1 Trial Licenses

Trial licenses may be issued for a limited time to evaluate ioPanel. These licenses are subject to usage limitations and are automatically void after the trial period unless upgraded to a paid plan.

2.2 Paid Licenses

Paid licenses may be monthly, yearly, or lifetime. They may be tied to specific IP addresses, domains, or hardware identifiers. You must maintain valid and up-to-date payment information to continue uninterrupted access.

3. License Restrictions

You agree not to:

• Modify, decompile, disassemble, reverse-engineer, or attempt to discover the source code of ioPanel.
• Resell, sublicense, rent, lease, or distribute ioPanel to third parties without written permission.
• Use ioPanel in any manner that violates any applicable law or regulation.
• Bypass or attempt to bypass any license enforcement or usage limits.

4. Intellectual Property

ioPanel, including all software, code, graphics, documentation, logos, and trademarks, is the intellectual property of ZagFox Technologies Pvt. Ltd. All rights not expressly granted are reserved by ZagFox. You may not use our name, logo, or branding without prior written permission.

5. Updates and Changes

ZagFox may, from time to time, provide software updates, patches, and enhancements. These may be required for continued functionality and security. You agree to install such updates promptly. We reserve the right to change or discontinue features with or without notice.

6. Account and License Management

You are responsible for maintaining the confidentiality of your ioPanel account credentials. You agree to promptly notify us of any unauthorized use or security breach. License transfers are only allowed with our explicit written approval.

7. Data Privacy

ioPanel is a self-hosted solution. All data and configurations remain on your infrastructure unless you choose to share information with us for support purposes. We do not access your data unless explicitly authorized. For details, refer to our Privacy Policy.

8. Acceptable Use Policy

You agree to use ioPanel only for lawful purposes. Prohibited use includes but is not limited to:

• Hosting or facilitating malicious, illegal, or infringing content.
• Engaging in spamming, phishing, or any form of abuse.
• Attempting unauthorized access to our systems or services.

9. Fees and Payments

All payments are due in advance based on your selected billing cycle. Failure to pay may result in license suspension or termination. We reserve the right to change pricing at any time, with prior notice for existing customers.

10. Termination

You may terminate your use of ioPanel at any time by uninstalling the software. ZagFox may terminate or suspend your license at any time for breach of these Terms. Upon termination, you must cease all use and delete all copies of ioPanel.

11. Disclaimer of Warranties

ioPanel is provided "as is" without warranty of any kind. We do not guarantee that the software will be error-free or uninterrupted. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

12. Limitation of Liability

To the maximum extent permitted by law, ZagFox shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of ioPanel, including data loss, server downtime, or business interruption.

13. Indemnification

You agree to indemnify, defend, and hold harmless ZagFox, its directors, employees, and partners from any claims, losses, damages, liabilities, including legal fees, arising out of your misuse of ioPanel, breach of these Terms, or violation of any law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh.

15. Changes to Terms

We may update these Terms periodically. We will notify you of material changes through our website or dashboard. Continued use of ioPanel after changes constitutes acceptance of the updated Terms.
